Terms of Service — Maxim Field Service Assistant

1. Acceptance; eligibility
These Terms are a binding agreement between you and Maxim. You accept them by an
affirmative act: checking the box labeled "I have read and agree" and selecting
"Accept and continue," after these Terms and the documentation ownership notice have
been presented to you in full. If you do not agree, do not use the app. Your acceptance
is recorded on this device with the Terms version and a timestamp, and each new version
requires fresh acceptance before further use. The app is intended solely for service
technicians and other personnel who are qualified and trained to service medical
equipment and who are authorized to use it by Maxim, or by an employer or contractor
engaged by Maxim. You represent that you are at least 18 years old and meet these
requirements. If you use the app on behalf of an employer or other entity, you
represent that you are authorized to bind it, and "you" includes that entity.
2. Third-party documentation; your responsibility; removal
The app displays excerpts of technical documentation solely as a reference for
servicing the corresponding equipment. Every document — whether bundled with the app
or uploaded by you — is and remains the property of its respective owner, and nothing
in these Terms transfers any right, title, or interest in any third-party
documentation, trademark, or product name to you or to Maxim. Maxim does not review,
screen, or monitor documents you upload, and uploaded documents are stored only on
your device; Maxim receives no copy. You are solely responsible for your uploads: you
represent and warrant that you have the right to possess, upload, view, and use each
document you load into the app, and you agree not to upload any material you are not
authorized to use. Maxim may remove or disable access to any documentation, in the app
or in any release of it, at any time and for any reason, including at the request of a
rights holder, and you agree to cooperate with any such removal, including deleting
local copies on request. Rights holders may direct removal requests to Maxim Medical
Services (maxim-med.com).
3. Maxim's intellectual property; license; feedback
The app itself — its software, design, search and safety logic, text, arrangement,
and branding, but excluding third-party documentation and trademarks — is the property
of Maxim and is protected by copyright and other intellectual-property laws. Maxim
grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable,
revocable license to use the app solely for servicing equipment in the course of
authorized work. You may not: copy, modify, distribute, sell, lease, sublicense,
publicly display, or create derivative works of the app; extract, scrape, or reuse its
software, databases, indexes, or design; use it to build a competing product; reverse
engineer or decompile it except to the extent the law expressly permits
notwithstanding this restriction; or remove or alter any proprietary notice. No rights
are granted except as expressly stated. If you provide feedback, suggestions, or ideas
about the app, you assign them to Maxim, and Maxim may use them without restriction,
attribution, or compensation.
4. Intended use; no substitute for OEM documentation; no professional advice
The app is a reference aid for qualified service personnel. It is not a substitute
for OEM service manuals, OEM training, hospital or facility policy, or your own
professional judgment, and it does not provide medical, engineering, or other
professional advice. Retrieved passages are excerpts: they may be incomplete, out of
date, or drawn from documentation that does not match the exact model, revision, or
configuration in front of you. Before acting on any specification, procedure, or
safety instruction, you must verify it against the complete, current OEM manual for
the specific equipment being serviced. Content the app labels as an unverified AI
suggestion is machine-generated, is not drawn from your documentation, never supplies
specifications, and must be independently confirmed before you rely on it in any way.
Do not use the app during active patient care or in an emergency. Always follow
applicable law, facility protocols, and lockout/tagout and electrical-safety
procedures. You are solely responsible for the work you perform and its outcomes.
5. Assumption of risk
SERVICING SURGICAL AND OPERATING-ROOM EQUIPMENT — INCLUDING SURGICAL LIGHTS, BOOMS,
TABLES, MEDICAL GAS SYSTEMS, AND ISOLATED POWER SYSTEMS — INVOLVES INHERENT RISKS,
INCLUDING ELECTRICAL, MECHANICAL, PRESSURIZED-GAS, AND PATIENT-SAFETY HAZARDS. YOU
ACKNOWLEDGE THAT THE APP IS A REFERENCE AID ONLY, THAT ANY RELIANCE ON RETRIEVED
PASSAGES OR AI SUGGESTIONS IS AT YOUR OWN RISK, AND THAT YOU KNOWINGLY AND VOLUNTARILY
ASSUME ALL RISKS ARISING FROM YOUR SERVICE WORK AND FROM YOUR USE OF, OR RELIANCE ON,
THE APP OR ITS CONTENT.
6. Your data; AI photo feature
Equipment records, notes, photos, and uploaded documents are stored locally on this
device. Maxim does not receive, collect, or back them up; you are responsible for
backups, and deleting the app or its browser data may permanently delete them. If you
use the optional online visual-suggestion feature, the photo you submit is transmitted
to a Maxim-operated server and relayed to a third-party AI provider for processing.
Do not submit photos containing patient information, protected health information, or
other confidential or personal information; you are solely responsible for ensuring
that anything you submit complies with applicable law (including HIPAA) and your
facility's policies.
7. Disclaimer of warranties
THE APP AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF
ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND
NON-INFRINGEMENT. MAXIM DOES NOT WARRANT THAT THE APP OR ANY RETRIEVED PASSAGE OR AI
SUGGESTION IS COMPLETE, CURRENT, ERROR-FREE, OR MATCHED TO THE CORRECT EQUIPMENT, OR
THAT THE APP WILL BE UNINTERRUPTED OR SECURE. NO ORAL OR WRITTEN INFORMATION OBTAINED
FROM MAXIM OR THROUGH THE APP CREATES ANY WARRANTY.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) MAXIM AND ITS OFFICERS, DIRECTORS,
EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS,
OR GOODWILL, OR FOR ANY LOSS ARISING FROM USE OF OR RELIANCE ON THE APP OR ITS
CONTENT, INCLUDING DAMAGE TO EQUIPMENT, PERSONAL INJURY, OR SERVICE OUTCOMES; AND
(B) MAXIM'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE APP SHALL NOT
EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD 100) OR THE AMOUNTS YOU PAID MAXIM
FOR THE APP IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. THESE LIMITATIONS APPLY
REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL
PURPOSE; THEY DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
THE APP IS PROVIDED WITHOUT CHARGE IN RELIANCE ON THESE DISCLAIMERS AND LIMITS, WHICH
ARE A BASIS OF THE BARGAIN BETWEEN YOU AND MAXIM. YOUR SOLE AND EXCLUSIVE REMEDY FOR
DISSATISFACTION WITH THE APP IS TO STOP USING IT.
9. Indemnification
You will defend, indemnify, and hold harmless Maxim and its officers, directors,
employees, and agents from and against any claim, demand, loss, liability, or expense
(including reasonable attorneys' fees) arising out of or related to: (a) any document
you upload or your possession or use of it; (b) your breach of these Terms, including
any representation in them; (c) your service work or your use or misuse of the app or
its content; or (d) your violation of law or of any third party's rights. Maxim may
assume the exclusive defense of any such matter at its own expense, and you agree to
cooperate.
10. Termination
Your license ends automatically if you breach these Terms. Maxim may suspend or
discontinue the app, or suspend or revoke your license, at any time, with or without
notice or cause. Upon termination you must stop using the app. Sections 2 through 5
and 7 through 13 survive termination.
11. Changes
Maxim may update these Terms. When they change, the app will present the new
version and require your acceptance before further use; your acceptance of the new
version governs from that point forward.
12. General
If any provision of these Terms is held unenforceable, it will be enforced to the
maximum extent permitted and the remainder will remain in effect. These Terms are the
entire agreement between you and Maxim regarding the app and supersede prior
understandings about it, except that any signed written agreement between Maxim and
you or your employer controls over these Terms to the extent of a conflict. Maxim's
failure to enforce a provision is not a waiver. You may not assign these Terms; Maxim
may assign them without restriction. You agree that a breach of Section 3 would cause
Maxim irreparable harm and that Maxim may seek injunctive relief without posting a
bond. You will comply with applicable export-control laws. Headings are for
convenience only.
13. Governing law; venue; jury waiver
These Terms are governed by the laws of the U.S. state in which Maxim Medical
Services maintains its principal place of business, without regard to conflict-of-law
rules and excluding the U.N. Convention on Contracts for the International Sale of
Goods. The state and federal courts located in that state have exclusive jurisdiction
over any dispute relating to the app or these Terms; each party consents to personal
jurisdiction and venue there and waives any objection to that forum. To the extent a
claim is permitted at all, it must be brought within one (1) year after it accrues,
where applicable law allows this limitation. TO THE EXTENT PERMITTED BY LAW, EACH
PARTY WAIVES ITS RIGHT TO A JURY TRIAL IN ANY DISPUTE ARISING OUT OF THESE TERMS OR
THE APP.
The app cannot be used without accepting. Acceptance is recorded on this device only.
